Welcome to Amardesh Online. These Terms of Service ("Terms") govern your access to and use of amardesh-online.com (the "Service") operated by Amardesh Online ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use this Service. By using Amardesh Online, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To list a business, become an agent, or access certain features, you must register an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

3. Business Listings

When listing a business on Amardesh Online, you agree that:

• You own the business or are authorized to list it
• All information provided is truthful, accurate, and not misleading
• The business is legally registered and operating lawfully in Bangladesh
• You will keep listing information up to date
• You will not engage in fraudulent, deceptive, or unethical practices

We reserve the right to reject, edit, or remove any listing at our sole discretion without notice.

4. Agent Program

Agents who help register businesses agree to:

• Provide valid government-issued identification (NID) for verification
• Pay the applicable registration fee
• Operate honestly, professionally, and ethically
• Not misrepresent themselves or the platform
• Comply with all instructions, guidelines, and commission structures
• Maintain confidentiality of merchant information

Agent registration fees are non-refundable except as required by law. Commission rates and payout schedules are subject to change with notice.

5. Prohibited Conduct

You agree NOT to:

• Post false, misleading, defamatory, or fraudulent content
• List illegal businesses, products, or services
• Violate any laws of Bangladesh or your jurisdiction
• Infringe intellectual property rights of others
• Upload viruses, malware, or harmful code
• Attempt unauthorized access to our systems or other accounts
• Scrape, copy, or harvest content without permission
• Use the Service for spam, phishing, or unauthorized advertising
• Harass, threaten, or abuse other users
• Impersonate any person or entity
• Interfere with the proper functioning of the Service

6. User Content

You retain ownership of content you submit (photos, descriptions, reviews). However, by submitting content, you grant Amardesh Online a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, distribute, and modify the content for the purpose of operating and promoting the Service.

You represent that you own or have the necessary rights to all content you submit, and that the content does not violate any law or third-party rights.

7. Payments and Fees

Some features (premium listings, agent registration, featured placement) require payment. By making a payment, you agree to:

• Provide accurate and current billing information
• Authorize us (or our payment processors) to charge the applicable amount
• Pay all applicable taxes and fees

All fees are non-refundable unless otherwise stated or required by law. Disputes must be raised within 14 days of the transaction.

8. Advertising

The Service displays advertisements, including those served by Google AdSense and other partners. We are not responsible for the content, accuracy, or legality of third-party advertisements. Clicking on ads or transacting with advertisers is at your own risk.

9. Intellectual Property

All content, design, code, logos, and trademarks of Amardesh Online (excluding user-submitted content) are the property of Amardesh Online and protected by copyright and trademark laws. You may not copy, modify, distribute, or create derivative works without our written permission.

To the maximum extent permitted by law, Amardesh Online and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim, or BDT 5,000, whichever is lower.

12. Indemnification

You agree to indemnify and hold harmless Amardesh Online, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason at our discretion. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, but provisions that should survive (e.g., intellectual property, limitations of liability) will remain in effect.

14. Governing Law

These Terms are governed by the laws of The People's Republic of Bangladesh. Any dispute shall be resolved in the courts of Dhaka, Bangladesh, unless otherwise required by law.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes constitutes acceptance. The "Last Updated" date indicates the latest revision.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
